Champion Endorsement Agreement — template

Status: template for counsel review before any signature. Fill every bracket. Nothing about a Champion is published until this is countersigned and filed (docs/ENDORSEMENTS.md).

1. Parties

2. What this is, in one paragraph

Champion lends their name, likeness, voice, and honest opinion to the Systems on the terms below. UnyKorn pays a flat fee for a fixed term, gives Champion real tools (a tracked link, a badge, approved lines, a Champion portal with results), and never pays anything tied to client fees, sales, sign-ups, or recovered funds. Every paid appearance is disclosed. Either side can end it on notice, and Champion's material comes down when it ends.

3. Grant of rights

3.1 Champion grants UnyKorn a non-exclusive, revocable license to use Champion's name, approved photographs, approved video, approved voice recordings, and approved quotes (the "Approved Material") in connection with the Systems during the Term, in the Territory, on the Platforms. 3.2 Approved means approved in writing (email is fine) by Champion or their representative, item by item. Nothing is used without that approval, and the Champion portal shows every item in use. 3.3 Territory: [worldwide / United States]. Platforms: the Systems' websites, the Systems' social accounts [list], paid social placements, audio/radio spots, short-form video, print, and event materials [edit]. 3.4 No sublicense to third parties without Champion's written consent. No use in political, religious, adult, gambling, or tobacco contexts. No use implying Champion is an employee, investigator, adviser, or licensee of any regulated function.

4. Term and termination

4.1 Term: [6 / 12] months from the Effective Date, renewable in writing. 4.2 Either party may terminate on [30] days' written notice; UnyKorn may terminate immediately for breach of Section 7 or reputational cause; Champion may terminate immediately if UnyKorn breaches Section 6 (disclosure and honesty). 4.3 On termination, UnyKorn removes the Approved Material from the Systems within [10] business days and stops new placements; already-printed or already-aired material may run through its scheduled end date not exceeding [60] days.

5. Compensation (flat, disclosed, never transaction-based)

5.1 Endorsement fee: $[amount] for the Term, paid [50% on signature, 50% at the midpoint / monthly in equal parts] by invoice to UnyKorn LLC. 5.2 Deliverable bonus (optional, flat): $[amount] on delivery of each of: [one 30-second video], [one 15-second video], [three social posts], [one appearance]. 5.3 Recruiting honorarium (flat, capped): $[amount] for each additional athlete or public figure who signs a Champion agreement on Champion's introduction, capped at [5] per Term. Paid on the countersignature date, not on any sale, sign-up, or client fee. 5.4 What UnyKorn does not pay, ever: commissions, revenue share, per-lead or per-click payments, a percentage of any client fee, or anything tied to funds recovered for any client. This clause survives termination and cannot be waived by side letter. 5.5 Expenses: pre-approved travel and production costs reimbursed at cost within 30 days of receipts. 5.6 Taxes: Champion is an independent contractor; UnyKorn issues a Form 1099 where required.

6. Disclosure and honesty (UnyKorn's obligations)

6.1 Every paid appearance carries a clear disclosure ("Paid partnership with UnyKorn LLC" or the platform's paid-partnership tag). On the Systems' websites the disclosure sits next to the quote. 6.2 UnyKorn publishes a public disclosure ledger on nil33.com and blockchainfraud.org/champions listing every Champion, the Systems endorsed, the compensation type (flat fee / unpaid), the disclosure used, and the Term dates. 6.3 UnyKorn never attributes to Champion any statement Champion did not approve, and never edits an approved statement to change its meaning. 6.4 UnyKorn never asks Champion to say that funds can be recovered, that outcomes are guaranteed, that any System is a bank, broker-dealer, custodian, exchange, or licensed adviser, or that any token is an investment.

7. Champion's obligations

7.1 Use the approved lines or Champion's own honest words that keep their meaning (Appendix B). Do not promise results. Do not claim experience Champion has not had. 7.2 Tag paid posts as paid on every platform (#ad, "Paid partnership", or the platform's tool). 7.3 Do not endorse a competing scam-check, crypto-recovery, or "guaranteed recovery" service during the Term. 7.4 Conduct: no statements or conduct that would bring the Systems into disrepute; UnyKorn may pause placements during any public controversy and resume when resolved. 7.5 Deliverables (Appendix C) delivered on the agreed dates in the agreed formats.

8. What Champion gets (the program)

9. Representations

9.1 Each party has authority to sign. Champion is not bound by an exclusivity that conflicts with this Agreement (or has disclosed it in Appendix D). 9.2 UnyKorn represents that the Systems are software and services operated by UnyKorn LLC; UnyKorn is not a bank, broker-dealer, custodian, exchange, or licensed investment adviser, and does not guarantee any outcome. 9.3 Any statement of Champion's honors, records, or affiliations used by UnyKorn will be verified from the league's or the awarding body's own records and approved by Champion before use.

10. Indemnity, limitation, insurance

10.1 Each party indemnifies the other for third-party claims arising from its own breach of this Agreement. 10.2 Neither party is liable for indirect or consequential damages; UnyKorn's aggregate liability is capped at the fees paid under this Agreement. 10.3 [Insurance requirements, if any.]

11. Governing law, disputes

Wyoming law. Disputes go first to a 30-day good-faith negotiation, then to [arbitration in [city] under [rules] / the courts of [county], Wyoming].

12. Whole agreement

This Agreement, with its Appendices, is the whole agreement; changes must be in writing and signed by both parties. Section 5.4 (no transaction-based compensation) and Section 6 (disclosure and honesty) survive termination.

Appendix A — Systems covered and what each does (plain words, no hype)

System What it is What Champion may say
Blockchain Fraud (blockchainfraud.org) A free in-browser scam check and a forensic investigation service that traces stolen crypto on public chains and prepares filings. Flat fees, no percentage of recovery, no guarantees. "Paste it before you pay it." / "Tough on fraud, honest about odds."
Y3K Markets (y3kmarkets.com) UnyKorn's setup and integration desk: white-label neobank and tokenization builds for operators, with public documentation. "Real systems, set up and documented. Not a token, not a promise."
FlashRouter (flashrouter.io) Client-owned liquidity routing infrastructure; the operator keeps the keys and the accounts. "You own the rails. That is the whole point."
UnyKorn (unykorn.ai) Issuance software and rails for real-world assets: the issuer stays issuer, custody sits with the custodian the client names, settlement is delivery-versus-payment. "Software that lets you stay the issuer."
x402 Paid HTTP for software agents: a machine pays for an API call on the spot, receipt included, no card on file. UnyKorn runs x402-metered endpoints. "Machines paying for what they use, by the call, with a receipt."
NIL33 (nil33.com) The transparent endorsement network for athletes and public figures across the Systems: signed agreements only, flat fees, a public disclosure ledger. "Every deal on the ledger. Every dollar disclosed."

These are operating systems and services, not tokens. No Champion statement may present any of them as an investment, a coin, or a way to make money by holding something.
